Terms of Service
These terms govern your access to and use of bauai.co and the BAU AI platform, operated by BAU AI Construction Tech Inc. ("BAU AI").
1. Acceptance
LEGAL REVIEW By accessing or using bauai.co or the BAU AI platform, you agree to these terms on behalf of yourself and your organization. If you do not agree, do not use the service.
2. Accounts and eligibility
LEGAL REVIEW The service is a business tool for US construction organizations. You must be at least 18 years old and authorized to bind your organization to these terms. You are responsible for keeping credentials secure and for all activity under your account.
3. Your content
You retain all rights in the documents, data, and outputs you upload or generate ("Customer Content"). You grant BAU AI a limited, revocable license to process Customer Content solely to provide the service to you. We do not use Customer Content to train BAU AI models or any third-party model.
You can export or delete your Customer Content at any time; hard delete across backups completes within 30 days per the security policy.
4. Acceptable use
You will not: (a) violate applicable law; (b) upload content you do not have the right to upload; (c) attempt to reverse-engineer, probe, or disrupt the service; (d) use the service to build a competing product; (e) use the service for high-risk decisions without qualified human review. The service is for professional US construction workflows; you are responsible for how you act on outputs.
5. AI outputs and human review
BAU AI reads bids, contracts, and proposals and surfaces findings cited to the source. Every finding is a draft for your review. You are the decision-maker. You will not rely on AI output as legal, financial, or engineering advice. Where a decision affects contract award, scope commitment, or compliance, a qualified human must review the finding against the cited source.
6. Fees and payment
LEGAL REVIEW Subscription fees, billing cadence, and currency are set in your order form. All fees are in US dollars unless otherwise agreed. Fees are non-refundable except where required by law. Taxes are your responsibility.
7. Confidentiality
Each party will protect the other's confidential information with the same care it uses for its own, and no less than a reasonable standard. Customer Content is treated as your confidential information at all times.
8. Intellectual property
BAU AI retains all rights in the service, including models, prompts, infrastructure, and the knowledge base of US construction standards. You retain rights in your Customer Content and in any outputs that embed your Customer Content. Feedback you provide is non-confidential and we may use it to improve the service.
9. Warranties and disclaimers
LEGAL REVIEW We warrant that the service will perform substantially as described in our then-current documentation. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI outputs can be wrong; you are responsible for human review.
10. Limitation of liability
LEGAL REVIEW To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, or punitive damages. Each party's aggregate liability under these terms is limited to the fees paid or payable in the 12 months preceding the event giving rise to liability. Nothing here limits a party's liability for gross negligence, willful misconduct, or indemnification obligations.
11. Indemnification
LEGAL REVIEW Each party will defend the other against third-party claims arising from its breach of these terms and will indemnify the other for amounts finally awarded by a court or paid in settlement, subject to prompt notice and reasonable cooperation.
12. Term and termination
These terms begin when you first access the service and continue for the subscription term in your order form. Either party may terminate for the other's material, uncured breach. On termination, your access ends and your Customer Content is retained per the privacy policy and security policy.
13. Governing law and disputes
LEGAL REVIEW These terms are governed by the laws of the State of Delaware, without regard to its conflicts rules. Disputes will be resolved in the state or federal courts located in Delaware, and each party consents to jurisdiction there. The UN Convention on Contracts for the International Sale of Goods does not apply.
14. Changes
We may update these terms. The "Last updated" date reflects the most recent change. Material changes will be announced on this page and, for paying customers, by email.
